Instructor Term & Conditions

Utsaah Psychological Services Private Limited, a company established under the law of India and Psycourse is a brand of Utsaah Psychological services pvt. Ltd. When you are signing up to become an instructor on the Psycourse platform, you agree to the Terms and Conditions. These terms and conditions cover details about the aspects of the Psycourse platform relevant to the general terms that govern your use of our Services further. Any capitalized terms that aren't defined in these T&C are defined as specified in the Terms of Use.

As an instructor, you are contracting directly with Psycourse, regardless of whether another Psycourse subsidiary facilitates payments to you.

1. Instructor Obligations

As an instructor, you will be responsible for all submitted content which will be posted, including lectures, quizzes, exercises, practice tests, reading materials, videos, assignments, answers etc.

You represent and agree that:

  • You will provide your information and maintain and update your account timely;
  • You agree to provide the necessary licenses, rights, consents, permissions, and authority to authorize Psycourse to use your Submitted Content as specified in these Terms of Use;
  • The Submitted Content will not infringe or misappropriate any third party's intellectual property rights;
  • You have the required qualifications, credentials, and expertise in the field of psychology/Mental Health (including education, training, knowledge, and the set of skills) to teach and offer the services that you are offering through your Submitted Content on the portal;
  • You will ensure a quality of service that corresponds with the standards of your field.
  • No personal details should be shared with students during the lecture and during the entire course. If anyone asks for the same instructor must provide the contact details of Psycourse. And, you should also not ask for the student personal details during the course.

You agree that you will not:

  • Provide or submit any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libellous content or information;
  • Submit any unsolicited or unauthorized advertising, promotional materials, junk mails, spam, or any other form of solicitation (commercial or otherwise) through the videos content;
  • Further use of the submitted content for other business purposes like tutoring, teaching, and instructional services to students;
  • Engaging yourself in any activity that would require us to obtain licenses from or pay royalties to any third party concerns;
  • Divulge yourself into another person account or gaining unauthorized access to another person's account;
  • Remove or request us to remove all or any portion of your submitted content from the Psycourse and our partner Network/website/portal.
  • Interference with the other individual’s content and prevent other instructors from providing their content related to the courses;
  • Abuse Psycourse resources, including support services or any other person in the team.

2. License application in Psycourse

You grant Psycourse the rights in the terms and conditions to offer, market, and otherwise exploit your Submitted Content, and to provide it to the students for these purposes directly. This includes the right to add the organisations logo and otherwise modify content to ensure accessibility.

Instructors have the right to remove all or any portion of the Submitted Content from the Services at any time. Except as otherwise agreed, Psycourse’s  right to sublicense the rights in this section will terminate with respect to new users 60 days after the Submitted Content's removal.

We may record all or any part of your Submitted Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the content. By agreeing you grant psycourse the permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the content/videos, or Psycource content, and you waive any rights of privacy, publicity, or any other rights of a similar nature, to the extent permissible under applicable law.

3. Trust & Safety 

3.1 Trust & Safety Policies

You agree to follow Psycourse’s trust & safety policies, restricted topics policy, and other course quality standards or policies updated by psycourse on timely basis. You have to check these policies periodically to ensure that you are updated with the timely updates. You understand that your use of the content is subject to Psycourse’s approval, which we may grant or deny at our sole discretion and quality content.

We hold the right to remove the courses, suspend pay-outs, and/or ban instructors for any reason at any time in the agreement, without any prior notice, including in cases where:

  • An instructor or course which does not comply with our policies or legal terms (including the T&C)
  • A course which falls below the quality standards or has a negative impact over the students experience;
  • If the instructor engages himself in a behaviour that might affect the goodwill or reputation of Psycourse or brings Psycourse into public disrepute, contempt, scandal, or ridicule;
  • If the instructor engages himself in the services of a marketer or any other business partner who violates Psycourse policies;
  • As determined by Psycourse in its sole discretion.

3.2 Co-Instructors and Teaching Assistants

The Psycourse platform allows you to add multiple instructors as co-instructors or teaching assistants for the courses that you manage. By adding a co-instructor or teaching assistant in your submitted content, you understand and agree that you are authorizing them to take certain actions that may affect your Psycourse account and your submitted courses. Psycourse will not be responsible to advice on any questions or mediate any disputes between you and the other users. If your co-instructors have an assigned revenue share, then in that case, their share of payment will be paid out of your earned revenue share based on the ratios you have specified in your Course Management settings as of the date registration.

3.3 Relationship to Other Users

Instructors will not have any direct contractual relationship with the students, so the only information you will receive about the students is the number of enrolments done to your course. Thereby, you agree that you will not use the data which you have received for any purpose other than providing your content on the Psycourse platform, and also you won't solicit any additional or personal data outside the Psycourse platform. You will indemnify Psycourse against any claims arising in the future with the use of students' personal data; if done any.

3.4 Anti-Piracy Efforts

We partner with anti-piracy vendors to help and protect your courses from unauthorized use of the same. To enable this protection for your submitted content, you hereby appoint Psycourse and our anti-piracy vendors will work as agents for the purpose of enforcing copyrights for each of your submitted courses. You grant Psycourse and the anti-piracy vendor’s team member’s primary authority to file notices on your behalf to enforce your copyright interests.

4. Pricing

 

4.1 Price Details

When you are creating your course for psycourse, you can select a base price for your course from a list of available price tiers. Alternatively, you can also choose to offer your course for free. As an instructor, you will also be given the opportunity to participate in the certain promotional programs under the terms of our Promotions Policy.

Psycourse holds rights to select the course price on the basis of the popularity of the course, quality of the course, variety of the recourses and, length/quality of the lecture. In addition, we hold rights to share the courses for free with our team, selected partners, students. You understand that you will not receive compensation in these cases.

When a student purchases the course using a foreign currency, we will then convert the relevant Price into the student's applicable currency. Since pricing rates are fixed, those conversion rates will not be identical to the applicable market rate. We have the right and the authority to update the Price Tier Matrix at any time in the near future.

By agreeing you give us the permission to share your courses for free with our employees, and with selected partners, in cases where we have to restore access accounts who have previously made the purchase for your courses. Thereby you agree that you will not receive compensation in any of these cases.

4.2 Taxes and levy

When the student is purchasing a course in a country which requires Psycourse to remit national, state, or local sales or use taxes, value added taxes (VAT), GST or other similar transaction taxations applicable under the law, we will collect and remit those Transactional Taxes to the competent tax authorities for those purchases. We will increase the sale price at our discretion. For purchases made via the mobile applications, applicable Transactional Taxes are collected by the mobile platform (such as Apple's App Store or Google Play).

 4.3 Promotional Programs               

Psycourse is offering several marketing strategies in which you can also participate to promote your courses. These programs will help you increase your revenue potential on Psycourse by finding the optimal price point for your courses and promoting them through additional marketing platforms.

There will be no up-front cost to participate in these programs, you can modify your participation status at any point of time. 

 

5. Payment Criteria 

5.1 Revenue Share

When the student are purchasing your course, the payment structure will be as follows:

If the raw video is submitted to the portal, or haven’t added ready to start course and need changes or editing. Then the payment will be diving into 3 equal parts’s, between Content Creator/s (Instructor/s), the Video Designers/Editors and the Psycourse.

If the complete courses is submitted to the portal, with the all necessary changes, edits and required designing, the share of the payment will be up to 50%, depending on the quality of the content submitted.

5.2 Refund Criteria

With the agreement, you acknowledge and agree that students have the right to receive or demand a refund. Instructors will not receive any revenue from such transactions for which a refund has been granted to the students under the Terms and Conditions for Psycourse.

*If any student demands a refund after we have made the relevant payment to the instructor, we hold the right to either (1) deduct the amount of the refund from the next payment that will be credited to the instructor’s account or (2) where no further payments are due to the instructor, and then the transfer of the payment to the instructor’s account with respect to refund the amount to the concerned student for the instructor's courses.

6. Trademarks or Logo

While you are an instructor with subject to the requirements below, you may use our logo only where we authorize you to do so.

You must:

  • Only use the logo of Psycourse where we make available for you.
  • Only use our logo in connection with the promotion and sale of your Psycourse submitted courses or for the participation on Psycourse platform; immediately comply if we request you to discontinue the use of the logo.

You must not:

  • Use our logo of Psycourse in a misleading or disparaging way;
  • Use our logo in such a way that implies that we endorse, sponsor, or grant approval for your submitted courses; or
  • Use our logo in such a way that it violates the applicable law directly or indirectly in connection with an obscene, indecent, or unlawful activity or concern.

7. Miscellaneous Legal Terms

7.1 Updating These Terms

We may update the necessary changes from time to time, these terms are to clarify our practices or reflect new or any different practices (such as if we are adding new features in the portal), and Psycourse hold the right in its sole discretion to modify or/and  make changes in the terms and conditions at any time. Modifications will be effective on the day they are posted, unless stands void.

If you continue the use of our Services after the changes become effective shall mean that you accept those changes. Any revised rules shall supersede all the previous terms and conditions.

7.2 Relationship between Us

We agree that there is no joint venture, partnership, employment, contractor, or agency relationship existing between us.
